1. The plaintiff's respective lawsuits against the defendant C and D shall be dismissed.

2. Defendant C and D are each E-university of Defendant Educational Foundation B.

Basic Facts

A. Defendant School Foundation B (hereinafter “Defendant School Foundation”) is a foundation that establishes the E University, and the Plaintiff, Defendant C, and D are professors of the E University.

B. The articles of incorporation of the Defendant School Foundation (hereinafter “instant articles of incorporation”) provides for the establishment and composition of the E University university board as follows.

B A school juristic person’s articles of incorporation shall have the board of trustees to deliberate on important matters concerning education in the school juristic person Article 31 (Establishment of Deliberation Council).

Article 31-2 (Composition of Council Members) (1) Members of the Council shall be comprised of 11 members appointed or commissioned by the principal of a school from among teachers, staff, persons who can represent teachers and students, and persons who may assist in the development of the same literature and school, and the number of members per unit shall be as follows:

1. Three teachers;

2. Two employees;

3. Two students.

4. Two persons in the same text;

5. Two persons who are capable of assisting in the development of schools. (2) In organizing a deliberation council, the number of deliberation members belonging to any one of the units referred to in paragraph (1) shall not exceed 1/2 of the fixed number of deliberation members.

Article 31-4 (Term of Office of Members) The term of office of members shall be two years, and they may be reappointed.

Provided, That the term of office for the substitute member shall be the remaining term of his predecessor.

Article 31-5 (Functions of Deliberation Committee) The Deliberation Committee shall deliberate on the following matters:

Provided, That the matters referred to in subparagraphs 3 through 5 shall be advisory matters.

1. Matters concerning development plan of the school;

2. Matters concerning establishment and amendment of school regulations;

3. Matters concerning the enactment or amendment of school charter;

4. Operation of school curricula;

5. Matters concerning the budget and settlement of accounts of schools;

6. Matters concerning recommendation by the members of recommendation committee;

7. Other important matters concerning education, which the President of UNIST refers to the meetings and are necessary for the operation of the deliberation committee referred to meetings by him/her shall be prescribed separately by the President of UNIST.

C. The term of office of the faculty members of the E University shall be January 2018.
