1. The instant lawsuit shall be dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

Basic Facts

The defendant is a corporation with the purpose of contributing to the friendship and the promotion of welfare of D and performing the wartime veterans commemorative service, etc., and the plaintiff is a member of the defendant.

Article 9 (Rights and Duties of Members) (1) Members of a plenary session may participate in the relevant meeting to speak and have the right to vote and to be elected.

(2) Members shall have obligations to comply with the articles of association, regulations and resolutions of the Association.

The main office, branch offices and sub-branch offices shall have its branch offices, and the branch offices may have sub-branch offices in Eup/Myeon/Dong as necessary.

Article 12 (Executives) The officers of the Board shall be as follows:

1. One chairperson;

2. Not more than five vice-chairpersons;

3. Two auditors.

4. Ten directors (including the Secretary-General) (1) the officers shall be elected from among the members.

Article 15 (Appointment of Officers and Auditors) (1) The president, vice presidents, directors and auditors shall be elected at a general meeting, and the president shall report to the Minister of Patriots and Veterans Affairs.

(2) The secretary general shall be appointed or dismissed by the chairperson.

(3) The prohibition of concurrent offices of executives shall be prescribed by regulations.

(4) Other matters shall be prescribed by the election management regulations.

Article 19 (Types of Meetings) (1) Meetings of the plenary session shall be meetings of the general meeting, the board of directors, the standing director meeting and subcommittees

Article 20 (Quorum) (1) Resolution of various meetings shall be resolved with the attendance of a majority of all incumbent members and the concurrent vote of a majority of those present.

(3) A voting right may be exercised by delegation to other members.

In such cases, the power of attorney shall be submitted at each meeting.

Article 22 (Composition of General Meeting) (2) A general meeting shall be comprised of the chairperson, vice-chairpersons, secretary general, directors, heads of chapters, and delegates.

(3) The representatives shall be elected one at each sub-committee, and one further representative shall be elected when at least 300 members are at least.

Provided, That the chairperson to serve shall be ex officio representatives.

Article 1 (Purpose) of the Regulations on Election Management and Appointment of Heads of Branch Offices shall provide for the procedures for the appointment of the Chairperson and the Executive Officers, the appointment of auditors and the heads of Branch Offices.
