1. The instant lawsuit shall be dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

1. Basic facts

A. On February 25, 2010, the C merchants’ Association (hereinafter “instant merchants’ Association”) entered into an agreement with the Defendant on February 25, 2010 with the “Seoul Special Metropolitan City Project Operators’ Association” (hereinafter “instant agreement”). The main contents are as follows.

Article 1 (Purpose and Outline of Projects of the Convention) (1) The purpose of this Convention is to prescribe matters necessary for negotiations with the Seoul Special Metropolitan City Project Operators who are Conditionally Upgraded for Repair and Maintenance of Underpasses and matters necessary for negotiations prior to the conclusion

(2) The outline and object of this project shall be as follows:

Project name: Project name: Conditional Project for Improving and Repairing the Underground Road of Seoul Metropolitan Government;

(b) Nature of business: Modification, repair, management and operation of old age facilities; and

(c) Location: Seocho-gu Seoul Metropolitan Government D and E underground streets;

(d) Business area: 31,280 square meters (620 number of public-interest stores);

(e) Annual rent: 9,772,830,000 won (including value-added tax);

(f) Total construction cost (including value added tax): 47,183,796,00 won;

(g) Construction period: Within 12 months (Definition of Terms), unless otherwise provided for in this Convention, the definitions of terms used in this Convention shall be as follows:

1. The term “project” refers to a project that is specified by the present Convention and the future loan agreement (hereinafter “instant project”). 4. The term “ underground street shop” refers to the B underground road shop located in Seocho-gu Seoul Metropolitan Government D and E underground streets. The term “management and operation right” refers to the right to maintain and manage the stores and incidental facilities of underground street shops. 7. The term “incidental facilities” is installed in the underground road shop.
