1. Basic facts

가. 토지매매계약의 체결 1) 주식회사 씨티웍스 피에프브이(이하 ‘씨티웍스 피에프브이’라 한다

) The project for new construction and sale of main complex apartment on the ground of Jongno-gu Seoul Metropolitan Government and 95 lots (hereinafter “instant project”).

)을 시행하기 위하여 위 C 일대의 토지를 매수하기로 계획하였다. 2) 씨티웍스 피에프브이는 2005. 10. 26. 피고로부터 각 피고 소유의 서울 종로구 D 대 70.4㎡ 및 그 지상 건물, 서울 종로구 E 대 71.7㎡ 및 그 지상 건물, 서울 종로구 F 대 32.1㎡(이하 위 각 부동산을 포괄하여 ‘이 사건 각 부동산’이라 한다)를 매매대금 합계 2,831,275,000원에 매수하는 내용의 매매계약(이하 ‘이 사건 매매계약’이라 한다)을 체결하였고, 2006. 1. 26.까지 피고에게 계약금으로 283,127,500원(이하 ‘이 사건 계약금’이라 한다)을 지급하였다.

Article 1 (Purpose) The buyer of May 30, 2006 (Termination of Contract) shall not leak the contents of the real estate sales contract to the seller from the outside before the buyer pays the down payment to the seller. In the event of the seller's breach of contract, the seller shall reimburse the amount of the down payment and the buyer may waive the down payment and terminate the contract at the time of the buyer's breach of contract.

[Matters of special agreement] When the payment of balance is delayed, the seller and the purchaser may adjust it by mutual agreement.

No seller shall demand the burden of additional expenses, such as increase in the purchase price, compensation for building expenses, and surrender expenses.
