All appeals are dismissed.
The costs of appeal are assessed against the plaintiffs.
Reasons
The grounds of appeal are examined (to the extent of supplement in case of supplemental appellate briefs not timely filed).
1. As to the ground of appeal No. 1, the court below rejected the plaintiffs' assertion that Article 389 (3) and Article 386 of the Commercial Act does not unfairly extend the term of office of the retired representative director, since Article 386 of the Commercial Act does not protect the rights and obligations of the former representative director when the term of office of the representative director expires but the former representative director remains due to the absence of a new representative director's selection, the directors, auditors and other interested persons can request the court to appoint the representative director, but the plaintiffs who are the defendant's shareholders did not take measures to appoint the new representative director after the expiration of the term of office of the defendant's representative director H, and there is no ground for excluding the application of the above Commercial Act to H, and there is no evidence to acknowledge that H unfairly unfairly extended the term of office of the representative director by abusing the above provisions of the Commercial Act.
Examining the records in light of the relevant legal principles, the above determination by the court below is just, and contrary to the allegations in the grounds of appeal, there were no errors by misapprehending the legal principles on the establishment and scope of emergency
2. Regarding ground of appeal No. 2
A. Article 368(1) of the Commercial Act provides that “Except as otherwise provided in this Act or in the articles of incorporation, a resolution of the general meeting of shareholders shall be adopted by a majority of the voting rights of the shareholders present at the meeting and by at least 1/4 of the total number of issued and outstanding shares,” which does not separately provide for a quorum for the establishment of the general meeting of shareholders, but the general meeting of shareholders may be otherwise determined by the articles
