1. The term of the exclusive agreement concluded on December 16, 2012 between the Plaintiff (Counterclaim Defendant) and the Defendant (Counterclaim Plaintiff) is based.

(a) Ethical education: various technical education, such as whether a person is a material or machine - during the contract period of at least 75,600,000 won (75,600,000 won) supported for three years from the date of commencement of the contract;

provided that assistance is limited within the term of the contract, and that all assistance and equipment are recovered at the expiration of the contract.

- The down payment shall be paid to A immediately after the date of this contract execution.

- Matters concerning the above contract may be withdrawn and demanded to return the contract deposit within seven days, and the return of the contract deposit after seven days, and the matters concerning the cancellation of the contract shall be separately agreed upon between A and B.

Article 6 (Subsidy B) (1) The subsidy for B shall be subject to the following conditions depending on the position:

A trainee: A man shall substitute a subsidy for Earson.

Distribution ratio is determined in consideration of the initial support for Gap and activity support expenses, and Gap and Eul recognize that mutual distribution ratio is fair.

(2) All subsidies referred to in B shall be settled as the last day of each month after receipt by A, and shall be distributed to B by the first day of the following month.

(3) In principle, Gap and Eul shall bear taxes on their respective income separately.

Article 12 (Terms and Conditions of Activities of Eul) (1) B shall perform the direction of A by demonstrating his own talent and ability to the maximum extent possible.

(2) Eul shall, in advance, examine Gap in any case on his/her activity plan.

3. Where Eul receives a request from a third party for creation, performance or other entertainment activities, it shall inform such third party of the necessity of Gap's consent, and shall also notify Gap of such request.

(4) Section B shall serve as the main body.
