Reasons
1. (Attached L Savings Bank Governance Structure). The Plaintiff Company loaned a total of KRW 19.6 billion in 24 times from April 5, 2010 to March 30, 2012, as shown in attached Table 1, to the M&A, and extended a total of KRW 21.9 billion in the N&A bank from April 1, 2010 to February 22, 2012, as shown in attached Table 2.
The NBA shall hold a share of 95.2%, which shall be divided by the MBA Co., Ltd.
Defendant C served as the representative director of the Plaintiff Company from October 15, 2009 to August 10, 2012; Defendant D from October 14, 2009 to May 25, 2012; Defendant E as the inside director of each Plaintiff Company from October 14, 2009 to August 10, 2012; Defendant F as from October 14, 2009 to May 25, 2012; Defendant G as outside director of each Plaintiff Company from May 27, 2009 to May 25, 2012; and Defendant H as non-standing director from May 27, 2009 to May 27, 2012 to August 10, 2012.
Defendant B and C were indicted on June 20, 2012 for a loan to the Plaintiff Company M&A and the NBA Co., Ltd., and on July 19, 2013, the Seoul Central District Court convicted him of the above crime.
(2012 Gohap766) The summary of the crime is as follows.
The M&A shall bear a loan amounting to a total of 45.8 billion won in order to repay the acquisition cost of L-affiliated Savings Bank, etc., and only interest shall have paid KRW 3.4 billion per month, and it was not able to create revenue on its own because it did not engage in a special business, and it has reported the business loss from 2009.
