1. As to the real estate stated in the attached list to the Plaintiff, the Defendant is based on the transfer security agreement on March 22, 2012.
Reasons
1. Facts of recognition;
A. A. A Co., Ltd. (hereinafter “C”) established around February 2008 for the purpose of real estate sales agency business, construction execution business, etc. and D actually operated around February 2, 2008, and established the Defendant Co., Ltd. (hereinafter “C”), which is an exclusive business entity (SPC) with the aim of securing project funds necessary for land purchase and construction by the PF method in order to jointly carry out the business of constructing and selling buildings on the ground, such as E commercial building 4, 5, 6, 7, F shop 3, 5, 6, 7, f shop 3, 5, 6, and Y-si G and H, Nam-si.
B. On May 25, 2010, the Joint Project Implementation Arrangement C entered into a joint project implementation agreement with the ESang Building 1, 2, 4, 5, 6, 7 cooperatives, and Franae 1, 3, 5, and 6 cooperatives with respect to the new project (the contents that C is implementing a commercial building as a joint executor under a joint implementation agreement). On June 25, 2010, the joint project implementation agreement was entered into with the Defendant and Easa 4, 5, 6, 7 cooperatives, and Frana 3, 5, and 6 cooperatives.
According to the above agreement, C is obliged to perform all the construction authorization work, various business-related contracting work, sales business, advertising publicity business, asset management business, and business fund-raising work. The defendant is obligated to comply with C and each union's agreement as the subject of the project, without any condition, with respect to the matters on which C and each union have consulted in relation to the project implementation, and to apply and implement the conditions based on the joint execution agreement concluded between C and each union in preference to any contract terms.
C. On June 23, 2010, C entered into a “execution, asset management, and service contract” with the Defendant and I Commercial Building Construction Project with a view to carrying out business affairs related to the implementation and asset management of the project at the monthly service charge of KRW 30 million.
According to the above contract, C's business affairs are all the business affairs of building authorization, and all business-related contracts on behalf of the defendant company, sale, advertisement, publicity, and defendant company.
