1. The plaintiff (Counterclaim defendant)'s main claim is dismissed.

2. The Plaintiff (Counterclaim Defendant) is KRW 100,000,000 against the Defendant (Counterclaim Plaintiff).

1. Basic facts

A. The Plaintiff operated the inspection hall with the trade name “D” in Bupyeong-gu, Sincheon-si C, and the Defendant operated a lifelong educational establishment, educational consulting, and education center establishment and course development business, etc. (the trade name after the alteration: F).

Article 1 (Purpose) In performing the duties of establishing lifelong education centers between the Plaintiff (hereinafter referred to as “A”) and the Defendant E representative (hereinafter referred to as “B”), the rights and obligations between “A” and “B” are prescribed, and the purpose is to promote the duties of establishing lifelong education centers with mutual trust by clarifying cooperation matters.

Article 2 (Contents of Duties) "A" shall cooperate with "B" in the affairs concerning the establishment of lifelong education centers as follows:

1. Appointment of one certified lifelong education teacher;

2. Other tasks required by “B”: 1. Establishment of a Lifelong Education Center;

2. Registration of the training institution in the Ministry of Labor shall be from the execution date of a contract to the completion date of the establishment of a lifelong education center;

(2) Development of other courses or business consulting services shall be performed upon conclusion of a separate contract.

(3) The time the establishment is completed shall be deemed the expiry date of the contract.

Article 7 (Contents and Payment Method of Consulting Costs for the Establishment of Lifelong Education Center) In return for the establishment of Lifelong Education Center, "A" shall pay the consulting cost for the establishment of Lifelong Education Center to "B" as follows:

(1) The consulting expenses to be paid when concluding a consulting service contract for the establishment of a lifelong education center shall be 3,500,000 won in total ( 3,500,000).

(Additional Value-Added Tax). (2) “A” shall pay the sum of KRW 3,00,000,000,000, for the transfer to the national bank account to “B” at the same time as the contract is concluded.

(3) “A” shall transfer KRW 50,000,000 (e.g. 500,000) to the national bank account of “B” upon receipt of the certificate of report of the lifelong education center.

Article 9 (Cancellation and Termination of Contracts) No contract may be reversed or terminated after the conclusion of this Agreement.
