1. Basic facts

A. The Plaintiff is an individual entrepreneur who manufactures and sells pressure gas sprayers, etc. with the trade name of “C,” and the Defendant is an individual entrepreneur who manufactures or sells light diode (LED; hereinafter “LED”) parts, etc. with the trade name of “D.”

B. Around March 2013, the Plaintiff: (a) requested E, a Co., Ltd. to produce cosmetics with a performance similar to F’s cosmetic G, but (b) the Plaintiff was placed into the Defendant as it was incapable of developing PED parts; (c) around May 2, 2013, the Plaintiff and the Defendant entered into a contract on the development and supply of PE cosmetics and goods (hereinafter “instant contract”) with the Defendant, which developed and manufactured the program and parts of PE cosmetics and supply them to the Plaintiff; and (d) the main contents are as follows.

Article 2 (Rights and Responsibilities)

1. All intellectual property rights related to LED cosmetics developed by the Defendant belong to the Plaintiff.

Provided, That if any other matter occurs, it shall be adjusted through mutual consultation.

3. The plaintiff must provide the defendant with the criteria for the production and quality control of PE beauty bars, and the defendant is liable for the quality of PE beauty bars that the defendant supplied to the plaintiff.

4. The specifications and supply price of LED cosmetics supplied by the Defendant to the Plaintiff shall be adjusted by mutual agreement when there are factors to change the content or supply price of the products, such as the function and performance of the products.
