1. Basic facts

A. The Plaintiff is a company established pursuant to the Daeman Law for the purpose of marine transportation, etc., and the Defendant is a bankruptcy trustee of B, a bankrupt debtor corporation, etc. established pursuant to the laws of the Republic of Korea for the purpose of marine transportation, etc.

나. 원고, B, D(D, 이하 ‘D’라 한다), E 엘티디(E Ltd., 이하 ‘E’라 한다), F 컴퍼니(F Company, 이하 위 각 회사를 함께 ‘이 사건 동맹선사들’이라 한다)는 2008. 5. 8. G 엘엘씨(G LLC, 이하 ‘G’이라 한다)와 사이에 G이 미국 버지니아 노퍽(Norfolk), 뉴포트 뉴스(Newport News), 포츠머스(Portsmouth) 및 기타 다른 지역에서 이 사건 동맹선사들에 대하여 해상운송 터미널 시설 및 관련 서비스를 제공하는 내용의 인센티브 계약(INCENTIVE AGREEMENT, 이하 ‘이 사건 터미널이용계약’이라 한다)을 체결하였다.

전문(RECITALS) R-1 이 시설에는 노퍽 국제 터미널(Norfolk International Terminal), 뉴포트 뉴스 해상 터미널(Newport News Marine Terminal) 및 포츠머스 해상 터미널(Portsmouth Marine Terminal)을 포함하고, 이하부터 각 ‘NIT’, 'NNMT' 및 ‘PMT’라 약칭하고, 위 터미널들 전부를 ‘시설물’(Facility)이라 총칭하기로 한다.

R-4 The instant conference ship companies intend to use NIT, NMT and PMT for the use of (i) the ports of the container owned by the carrier and (ii) the container owned, managed or leased in connection with the maritime transport of the carrier.

I. Agreement 1.1. G during the term of this Agreement: (Omission) NIT, NMT and PMT terminals space are provided non-exclusively.

(Omission)1.5. Each carrier shall be jointly and severally liable to G for the obligation to pay, liability for damages, and other amounts and obligations arising under this Agreement to G.
