1. The plaintiff's claim is dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

1. Basic facts

A. C Co., Ltd. (hereinafter “C”) conducted capital increase in order to raise funds required for the production of a high-speed albane, etc., and related projects, in order to prevent the separation of secondary batteries.

On September 25, 2012, the Plaintiff entered into a preferential subscription agreement with C and C to acquire KRW 20,000 shares of convertible redemption in KRW 1,00,000 (hereinafter “instant underwriting agreement”).

B. The instant underwriting agreement includes the following statements and security provisions (hereinafter “instant provisions”).

Article 9 (Statement and Guarantee) (1) A and interested persons shall ensure that the following matters are stated and guaranteed to the Plaintiff as of the date of conclusion of this Agreement and the date of payment of share capital:

15.The investment proposal to be submitted separately by C shall be reflected and drawn up on the basis of a reasonable basis according to the truth and fairness of the project status and plan of C as of the date of its preparation, any content of the investment proposal shall not be false or misleading and shall not be omitted.

Dor C and interested parties shall jointly and severally compensate for all damages incurred by the plaintiff in the event that the facts in paragraph (1) are false or inaccurate and the expenses incurred by the plaintiff.

C. The Investment Proposal (hereinafter “instant Proposal”) dated August 20, 2012, which was presented to the Plaintiff by C, contains the following contents:
