1. A consulting contract concluded on October 27, 2017 between the Plaintiff (Counterclaim Defendant) and the Defendant (Counterclaim Plaintiff) regarding the sale of real estate.

1. Facts of recognition;

A. On October 27, 2015, the Plaintiff entered into a real estate consulting contract with the Defendant and the factory site to purchase and perform civil engineering works with the construction work permit, and then to transfer the ownership of the site (hereinafter “instant consulting contract”). The details are as follows.

Article 1 [Personal Information on the Aged and Services] of the Agreement on Real Estate Sale-Related Consulting Services: The client and one other (as designated by the defendant, to transfer ownership in the future): The defendant entrusted the plaintiff, the service requester, with all of the agreed-related work related to the real estate (land) to the plaintiff, the service requester, as required by the defendant, and entered into a contract with the content of the following real estate at the defendant's request.

Article 2 [Service Objects (Real Estate) and Services Items] The defendant shall entrust the plaintiff with consulting services on the land (land) with the following contents, and the plaintiff shall accept such entrustment:

1. Services objects (land): about 12.5% to 13% ( approximately 279.3m2), approximately 12.5% ( approximately 279.3m2)-2,539,3m2) of the total site in the road in the complex other than the chemical C, D, E (hereinafter referred to as the “instant factory site”) in terms of inflammable;

2. Services - Purchase and sale of real estate, vicarious lease, and market research related to sale and purchase of land necessary for the Defendant - Purchase of part of the land necessary for the Defendant, and construction of roads - The reasonable market price investigation and legal relationship of this land, and the analysis of rights related thereto - the entrusted investigation and authorization development of all kinds of authorization and permission necessary for the service contractor (such as development permit, building permit, civil engineering or construction work consultation and agency, etc.) - The reduction of the transfer income tax on this real estate and other tax consulting services within the scope of all other real estate consulting services to the Plaintiff.
