1. Basic facts

A. The Plaintiff is a corporation engaged in real estate construction business and consulting business, and the C Regional Housing Association Promotion Committee (hereinafter “instant Promotion Committee”) is established for the purpose of establishing an association in order to carry out a new project of constructing multi-family housing (hereinafter “instant project”) within the C District Land Association and Rearrangement Project District in Gyeyang-si.

Article 1 (General Provisions) The Promotion Committee of this case and D shall provide for the basic principles of development, the rights and obligations of the parties concerned, the method of execution of development affairs, etc. concerning the development affairs in this contract, and shall provide detailed conditions and details, if necessary, under separate contracts

Article 2 (Method of Implementing Projects)

1. The instant promotion committee provides the project site, and the total site price shall be KRW 6,930,000,000.

2. D is a land development-general agent of the instant promotion committee, and D performs its duties faithfully with the care of a good manager with respect to all the development of “project site” and the follow-up management duties, and is paid a certain amount of money.

3.D shall be responsible for the formulation of a development plan of this development project, the director of the design work, construction work, and all the affairs related thereto; however, the committee of promotion of this case may designate individual duties and time works to act on behalf of the design and construction works on its behalf;

4. The promotion committee of this case shall make every effort to carry out the business by proxy the business of this case and actively cooperate in all the business.

Article 4 (Scope of Duties) - Scope of Duties of the Promotion Committee of this case

1. Conclusion of a contract for land and trust;

2. Business affairs related to replotting and authorization or permission of project sites;

3. Providing public relations centers and offices;

4. Assistance in the collection of office fixtures and advertising promotion - The scope of the work that the promotion committee of this case requires D to carry out.
