Reasons
1. Basic facts
A. D Co., Ltd. (hereinafter “D”) is a company established on April 27, 2010 with the main business purpose of manufacturing, selling, etc. of concrete. Of the total number of D’s issued stocks 40,000 shares, the Defendant took over 14,000 shares, E, the spouse of the Plaintiff B, 14,000 shares, and 12,00 shares for G, the spouse of the Plaintiff A’s employee of the Plaintiff A Co., Ltd., which was substantially operated by the Plaintiff B, respectively. On the date of the said establishment, E and G were the internal directors of D, and the Defendant was the representative director and the representative director of D, respectively.
