1. The plaintiff's primary and conjunctive claims are all dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

Basic Facts

The Plaintiff served as a managing director from November 17, 2014 to June 30, 2016.

Of the Defendant’s Articles of Incorporation (amended on February 13, 2015; hereinafter referred to as “Articles of Incorporation”), the parts relating to this case are as follows.

Part III (Types and Fixed Number of Officers) This Section shall have the following officers:

(1) Appointed officers: One vice-chairperson: several vice-chairpersons: Provided, That a standing vice-chairperson shall be established from among the vice-chairpersons.

The directors: not less than 30 but not more than 70 persons (including the president, vice-chairpersons and the managing director), Article 12 (Method of Election of Appointed Officers) 1. The president shall be elected at a general meeting.

However, the B market shall be ex officio.

(3) Directors shall be appointed at a general meeting upon recommendation.

(4) The managing director shall be appointed or dismissed by the chairperson.

Article 15 (Duties of Officers) (1) The Chairperson shall represent the principal meeting and exercise overall control over its affairs.

(4) Directors shall organize the board of directors, attend the board of directors to resolve matters concerning the affairs of the plenary session, and advisers and advices may attend the board of directors to state their opinions.

Article 18 (Remuneration for Executives) No remuneration shall be paid to the appointment and commissioned officers, excluding the managing director.

Provided, That the minimum actual expenses incurred in performing the duties may be paid.

Part V, the board of directors is composed of the president, vice presidents, managing directors, and directors, and the highest executive organ of the plenary session.

§ 28 (Function) The Council shall deliberate and decide on the following matters:

(1) Matters concerning the coordination and integration of various committees. (8) Matters concerning the guidance and supervision of the secretariats. (3) Matters concerning the operation of business plans. (4) Matters concerning the preparation of budget and settlement of accounts. (5) Matters concerning the support and fostering of organizations related to franchise games and federations by type of business delegated by the general meeting.
