1. The instant lawsuit shall be dismissed.

1. Basic facts

A. The status of the parties, etc. is a corporation with the purpose of manufacturing medical devices and wholesale and retail business, and C is the only internal director of the Plaintiff.

The defendant is a company of the United States of America that engages in selling medical devices.

B. A sales contract between C and the Defendant is a name used in the transaction with “A” or “D” in the wholesale and retail business of medical devices from around 1988. A has been engaged in a transaction by using the trade name of “A” or “D”. A around January 31, 2010, with an exclusive right to marketing, sale, and distribution in the Republic of Korea of the Defendant’s products by December 31, 2014, and under the terms and conditions of the contract, that the Plaintiff shall pay the price for the products supplied by the Defendant to the Plaintiff under the terms and conditions of the contract.

2) As to the governing law and jurisdiction in the instant total sales contract, the following is determined:

10.The governing law of the general clause (a) and the governing general contract of this case shall be governed and interpreted in accordance with the laws of California.

The federal and state courts in California shall have exclusive jurisdiction over the judicial settlement of disputes arising out of the instant sales contract.
