1. The defendant shall file a number of voice offices on each building indicated in attached Table 2 with the plaintiff.

1. Basic facts

A. On September 1, 2016, the Defendant: (a) sold the purchase price of KRW 578,155,000 (=the remainder of KRW 100,000,15,000 for down payment) to the Plaintiff and E; (b) entered into a sales contract with the buyer to complete the construction works for the development of the related mushroom growing complex on the ground of the said real estate and to pay the buyer at the time of the buyer’s occupancy.

B. After September 29, 2016, the Plaintiff Company was established as a director and representative director of J as the representative director of the K-In-house director and E, which is the representative director of the L-In-house Development Bank D, and the Defendant is the Plaintiff Company on September 30, 2016.

A sales contract (hereinafter “instant sales contract”) with the same content as the sales contract stated in the port was re-established and entered into a sales contract, and the Plaintiff paid the Defendant the down payment of KRW 100,000,000 according to the instant sales contract.

C. Meanwhile, on the same day, the Plaintiff and the Defendant prepared a sales contract stating that (i) the seller as the Plaintiff and the seller shall sell to the Plaintiff the purchase price of KRW 5,824 square meters in total of KRW 596,754 square meters in the Defendant Company’s share in the Defendant Company F and H, the Plaintiff and the seller as the Plaintiff; (ii) the seller shall sell to the Plaintiff the remainder of KRW 90,000,000 in the purchase price of KRW 195,000 (i.e., the remainder of KRW 90,000 in the down payment of KRW 195,000; (iii) the seller shall be the representative director of the Defendant; and (iv) the buyer shall be the Plaintiff, with the size of KRW 1,158 square meters in the land size of KRW 35,00,000 in the purchase price of KRW 10,00 in the Chungcheongnam-gun, the Plaintiff shall separately sell the sale price of KRW 25,00 in the sales contract.

As above, the Plaintiff’s input of the Plaintiff’s cost and effort on the land purchased from the Defendant and constructed a mushroom growing facility with the total of 18 consent (hereinafter “instant mushroom growing facility”) as shown in the attached Form 1. On October 13, 2016, among the mushroom growing facilities in the instant case, the parcel number was divided after November 14, 2016, as seen in the FF and H.
