1.The judgment of the first instance shall be modified as follows:

The Plaintiff (Counterclaim Defendant) is the Defendant (Counterclaim Plaintiff) with KRW 114,184,624.

A principal lawsuit and a counterclaim shall be deemed simultaneously.

1. Basic facts

The defendant is an incorporated association established on April 18, 2003 for the purpose of holding projects related to culture and arts of persons with disabilities, and the plaintiff is appointed as the head of the defendant's headquarters on the following grounds around April 201 and operated B headquarters.

B. The Plaintiff and the Defendant prepared the instant agreement and the respective documents, etc. (1) The Plaintiff proposed to the Defendant as a profit-making business, and concluded the following business agreements on April 15, 201 with respect to the furniture business with the Defendant:

Article 4 (Mutual Obligations of Conventions) (3) The plaintiff shall be the representative responsible for the operation of the headquarters B.

(4) The representative of the B headquarters (including expenses) shall take precedence over the operation (including expenses) of the headquarters, and may report to the Association thereafter.

Article 9 (Obligation of the Plaintiff) (1) The Defendant may guide and supervise the Plaintiff in relation to the promotion of the business in order to smoothly promote the business, and the Plaintiff shall comply therewith.

(2) The plaintiff shall keep and manage the accounting books for the business separately from his/her own accounting books, and where a person designated by the defendant requests the perusal of relevant documents, on-site verification, submission of relevant data, etc., the plaintiff shall comply with such request.
