1. The Defendants shall have jurisdiction over each real estate listed in the separate sheet to the Plaintiff in the Suwon District Court branch of the Sungwon District Court.

1. Facts of recognition;

A. The plaintiff is a clan that is comprised of B 21 years of age C and D.

B. The Plaintiff’s resolution on the special general meeting of August 9, 2009 adopted a resolution to sell the instant real estate to the company F Co., Ltd. (hereinafter “F”) that was promoting an urban development project at Sungnam-si E level and F Co., Ltd. (hereinafter “F, etc.”) that is scheduled to be newly established for the implementation of an urban development project with the consent of 129 members, among the 200 members of the total closing members, with respect to the sales agenda of each real estate listed in the attached list owned by the Plaintiff (hereinafter “instant real estate”), with the consent of all members present at the meeting, and with the consent of 132 members present at the meeting, the Plaintiff decided to delegate to the board of directors the authority on incidental matters, such as preparation of a contract, decision on sale area, and consent to the administrative procedures necessary for the implementation of an urban development project with the consent of 129 members present at the meeting.

Article 17 (Special General Meeting of Articles of Incorporation)

1. Extraordinary general meetings shall be convened when the chairman deems it necessary;

2. Holding a meeting at the request of at least 1/3 of the board of directors or at the request of at least 1/3 of members, and a notice for convening a meeting shall be issued 15 days

Article 18 (Resolution) Any decision shall be made with the affirmative vote of a majority of all the members present at the ordinary general meeting and the extraordinary general meeting.

Article 19 (Board of Directors)

1.The Council shall consider and decide:

3) Disposition and acquisition of the clan properties (the clans shall obtain the consent of not less than 2/3 of the number of its members present) / [the amended articles of association] Article 6 (Officers of the clans shall have the following officers:

2. Two vice-chairpersons;

3. Seven directors; and

4. Two auditors.

5. One secretary;

6. A number of advisers shall be appointed.

Article 10 (President) The Vice-President shall assist the Chairperson, and act for the Chairperson in the public notice of the Chairperson.

Article 11 (Composition of Board of Directors)

1.The board of directors shall consist of a president, vice presidents, secretary and directors.
