1. The Defendant (Counterclaim Plaintiff) paid KRW 15,300,000 to the Plaintiff (Counterclaim Defendant) and the Plaintiff’s payment from April 1, 2016 to December 6, 2017.

A principal lawsuit and a counterclaim shall be deemed simultaneously.

1. Facts of recognition;

A. Lease contract 1) Seoul Gangnam-gu, Seoul, the size of the first underground floor and the fifth ground-based building (hereinafter “instant building”).

A) As to the instant building, C completed the registration of ownership transfer by the Seoul Central District Court No. 10937, Feb. 6, 1999, and the Defendant (the former two co-owners of stock companies) completed the registration of ownership transfer by the Seoul Central District Court No. 21749, Apr. 9, 2010. The instant building was completed around 1993. (2) The Plaintiff acquired all the facilities of the instant commercial building from D, which were operated by the restaurant by leasing the first floor above the instant building (hereinafter “instant commercial building”).

On December 23, 2002, the Plaintiff leased the instant commercial building from C for a period of KRW 100 million, KRW 5 million monthly rent, KRW 720,000 per month management expenses, and KRW 5,000 from February 1, 2003.

On November 13, 2008, the Plaintiff entered into a lease contract with C by setting the lease deposit of KRW 150 million, monthly rent of KRW 550 million, monthly management fee of KRW 720,000, monthly management fee of KRW 720,000, and the lease term from November 13, 2008 to January 31, 2014.

3) The Plaintiff operated the restaurant business in the name of “E” in the instant commercial building. 4) After the Defendant completed the registration of ownership transfer with respect to the instant building, the Plaintiff entered into a lease agreement with the Defendant on April 9, 2010 to lease the instant commercial building from the Defendant.

As follows, a lease contract was concluded again by increasing deposit, monthly rent, and monthly management expenses, and the lease term was renewed by March 31, 2016 after the contract was concluded on January 1, 2014.

The last 1 January 2014 contract is "the instant contract".
