1. The defendant shall receive KRW 10,000,000 from the plaintiff A, and at the same time the shares listed in the attached Form shall be paid to the plaintiff A.
Reasons
1. Facts of recognition;
A. As a joint founder of the Plaintiff Company, the Plaintiff and the Defendant are the current representative of the Plaintiff Company, and the Defendant participated in the management of the Plaintiff Company as its executive officer from May 1, 2016, and retired from the Plaintiff Company as of May 15, 2018.
B. On August 1, 2017, Plaintiff A and the Defendant concluded a contract between joint entrepreneurs. At the time of the conclusion of the said contract, Plaintiff A owned 70,000 shares of the Plaintiff Company’s ordinary shares, and the Defendant owned 30,000 shares of the Plaintiff Company’s common shares.
C. The major contents of the contract between shareholders are as follows:
Article 2 (Roles and Responsibilities of Joint Business Starters) (1) Shareholders shall carry out the following roles and responsibilities as joint business starters:
(2) The term "shareholders 1" (Plaintiff A) is a representative of the company and performs duties with the following roles and responsibilities as a representative of the company.
(3) The term "shareholders 2" (the defendant) shall have the following roles and responsibilities as a design manager of a company, and shall perform duties as a design manager of the company.
