1. The Defendant (Counterclaim Plaintiff) paid KRW 537,00,000 to the Plaintiff (Counterclaim Defendant) and its related amount from October 3, 2015 to July 12, 2017.

A principal lawsuit and a counterclaim shall be deemed simultaneously.

1. Basic facts

A. The Plaintiff and the Defendant are both companies operating real estate development business, etc., and the Defendant changed the trade name from C to B corporation on November 5, 2015.

D is a person who works as a defendant's internal director from July 30, 2012.

B. 1) The Defendant’s construction of collective housing and ancillary and welfare facilities (hereinafter “instant project”) on the 53 parcel outside Busan Shipping Daegu E, Busan.

3. (1) Transfer of ownership and completion of surrender under the sales contract, including buildings not unregistered on G land and ground, and H.
