Reasons
1. Basic facts
A. On October 5, 2005, A Co., Ltd. (hereinafter “A”) established on October 23, 2005 for the purpose of real estate development business to enter into a business promotion agreement for the instant golf course business (hereinafter “A”) entered into an agreement on the promotion of the instant golf course (hereinafter “instant golf course”; hereinafter “instant business”) with respect to the business of purchasing approximately KRW 304,467, and constructing G golf course at approximately KRW 307,46, which is the F.C. (hereinafter “D”)’s day-to-day F.D., promoted by A, and constructing auxiliary facilities (hereinafter “the instant golf course”); and hereinafter “instant business”).

Article 1 (Basic Agreement) D provides A with loans to cover funds for purchasing real estate and other operating funds necessary for the instant project through a sufficient review on business feasibility to ensure the success of the instant project by purchasing the instant golf course site in the host of the Synish.
Article 3 (Sharing of Duties) (1) D shall share the following duties for the successful implementation of the project in this case:
1. To ensure the success of the instant project, D lending support to A;
2. Intermediating loans to financial rights, etc. while promoting the instant project;
3. Providing various information necessary for the sale of buildings in units and the selection of an advertising agency for the successful performance of the instant project;
4. Provision of information necessary to select a contractor on the terms of sale of responsibility and the conditions of execution of responsibility for the instant project;
5. Provision of information on the text, terms, etc. of the contract necessary for the preparation of the contract for the construction works selected and the terms and conditions of sale in charge and responsible execution;
6. Provision of information necessary to select financial institutions that provide security loans to policyholders of golf course membership to sell membership cards;
7. Assistance in selective loan of various expenses (including taxes and public charges) incurred from purchasing the instant project site to the completion of permission to open a golf course after the purchase thereof;
8. Other matters.
