B. Defendant Seoul Guarantee Insurance Co., Ltd.

1. Basic facts

가. 소외 주식회사 컴앤시스(이하 ‘소외 회사’라고 한다)는 주식회사 로웸으로부터 통합 인증센터 구축(서버개발)의 개발을 의뢰받아 이를 다시 원고에게 그 개발용역을 의뢰하는 계약을 체결하였고, 원고는 2013. 5. 13. 위 통합인증센터 구축(서버개발)을 위한 개발용역 중 디자인 부분을 제외한 나머지 부분을 피고 주식회사 지비소프트(이하 ‘피고 지비소프트’라고 한다)에게 용역대금 170,000,000원(부가세 별도)으로 정하여 위탁하는 계약(이하 ‘이 사건 계약’이라고 한다)을 체결하였으며, 그 주요 내용은 다음과 같다.

Article 3 (Contract Period and Detailed Schedules) The contract period of this development service ordered by the Plaintiff shall be from May 6, 2013 to October 5, 2013.

Provided, That in the case of delay in business, the execution period is automatically extended to the number of delay days.

In addition, if there is a written agreement between the plaintiff and defendant branch office, the contract period shall be extended or reduced to the period specified in the written agreement, and the contract period shall be valid until the new period is specified in the written agreement.

Article 6 (Presentation and Inspection of Developed Results)

1. Defendant Subdivision shall submit development results to the place designated by the Plaintiff as specified, and within 15 days from the date of supply, the Plaintiff shall examine them in accordance with the development approval conditions and notify Defendant Subdivision thereof.

2. The Plaintiff may request necessary measures against Defendant Subdivision in the event that defects were found, as a result of the examination under the preceding paragraph, that the results of development submitted by Defendant Subdivision did not satisfy the matters agreed upon.

3. Upon receipt of the notification referred to in the preceding paragraph, Defendant Branch shall without delay take the necessary action and re-delivery within the period specified by a separate agreement.

4. Defendant Gypart uses and adapts to the development outcomes.
