1. Basic facts

가. 당사자의 지위 원고는 주식회사 메타웍스(이하 ‘메타웍스’라 한다)가 신축 분양한 서울 강북구 미아동 35-4, 36-1 지상의 ‘트레지오 쇼핑몰’(이하 ‘이 사건 상가’라 한다)의 시공사이고, 피고는 메타웍스와 이 사건 상가에 관하여 분양계약을 체결한 수분양자이다.

나. 원고, 메타웍스, 국민은행 사이의 협약서 체결 및 원고의 근보증서 제출 이 사건 상가의 신축 및 분양사업의 시행사인 메타웍스, 시공사인 원고, 중도금대출은행인 국민은행은 2004. 4.경 다음과 같은 내용의 협약(이하 이 사건 협약이라 한다)을 체결하였고, 원고는 그 즈음 위 협약에 따라 이 사건 상가의 수분양자들을 채무자로 하여 229억 600만 원을 한도로 하는 근보증서를 작성하여 국민은행에게 교부하였다.

협약서 제1조(대출) ① 국민은행은 메타웍스와 원고가 건설하는 이 사건 상가의 입주예정 계약자에게 국민은행의 내규에서 정하는 바에 따라 중도금대출을 실행하기로 한다.

③ 국민은행은 특별한 사유가 없는 한 대출금을 메타웍스와 분양계약자가 체결한 분양계약서에서 정한 중도금 납입일정에 따라 분할하여 이 사건 분양대금 관리계좌에 입금하기로 한다

(Provided, That Article 3 (Joint Guarantee) (1) The plaintiff shall stand joint and several surety for the debtor for the part payment loan to the seller in lots handled by the national bank pursuant to Article 1.

(2) The scope of guarantee guaranteed by the probationary guarantee shall guarantee the obligations specified in the specific probationary guarantee.

(3) The limit of a contract for collateral security shall be 130% (less than a hundred and thirty thousand won) of loans granted to a seller for sale.

(4) The settlement term of a probation guarantee contract shall be in the future designated type.
