Reasons
1. Basic facts
A. As to the instant real estate owned by the Defendant Company, the registration of ownership transfer was completed on May 27, 2008 by one-half shares in F and Defendant B, respectively, due to purchase and sale on May 27, 2008.
B. The real estate sales contract prepared on May 27, 2008 for the registration of ownership transfer is stated as F and Defendant B, and the buyer is stated as F and Defendant B, and the purchase price is KRW 300 million, and the total purchase price is paid simultaneously with the contract.
C. Meanwhile, on April 23, 2008, the Defendant Company prepared a separate sales contract on the instant real estate, and the buyer of the sales contract stated that G (the pre-sale business of H Co., Ltd. as seen below) is KRW 1 billion. The sales price is KRW 1 billion (payment at the time of concluding a contract amounting to KRW 200 million, KRW 80 million, and KRW 800,000,000,000,000 to May 31, 2008). The seller provides documents necessary for the registration of transfer of ownership at the same time as the buyer or the buyer receives any balance, and the special terms state that “the buyer and the seller prepare a separate real estate sales contract and the sales price shall be KRW 30,00,00
On May 28, 2008, the Plaintiff, Inc., I (hereinafter “I”), H Co., Ltd. (hereinafter “H”), and H Co., Ltd. (hereinafter “three companies including the Plaintiff, etc.”) agreed to jointly purchase the instant real estate in order to operate a joint business for the production and sale of aggregate. The ownership of the instant real estate is entrusted to F and Defendant B, and the sum of KRW 1 billion and incidental expenses KRW 1.4.5 billion is equally borne by three companies including the Plaintiff.
