1. All of the plaintiffs' claims are dismissed.
2. The costs of lawsuit are assessed against the plaintiffs.
Reasons
Basic Facts
On August 12, 2011, Plaintiff A Co., Ltd. (hereinafter referred to as “Plaintiff A”) and C Co., Ltd. (hereinafter collectively referred to as “Plaintiff B”) entered into a joint agreement with the Plaintiff on August 12, 201, with a view to jointly conducting Mate Engy, Inc. (hereinafter referred to as “Mate Engy, Inc.”), which the Plaintiff received from U.S. companies, for Mate Energy E E E-construction (hereinafter referred to as “Mae”) in the United States.
1) On August 22, 2011, the Plaintiffs are F (F, Inc., hereinafter referred to as “F”) as a special purpose corporation (SPC) for the implementation of the instant business in the United States.
(2) The Plaintiffs, while serving as the director of the Plaintiff A, dispatched the Defendant to F’s working-level officer on October 201, 201, and the Plaintiffs agreed that, in carrying out the instant project on or around October 201, Plaintiff A is in charge of the construction contract work, Plaintiff B is in charge of the financial role, Plaintiff B is in charge of the work of Ethna, and Ethna is in charge of Ethna, the Defendant is unified into the Defendant on the part of Plaintiff A, and the responsibility and authority for the performance of the work is in F, but all matters related to the progress
Accordingly, on October 20, 201, Plaintiff A drafted to the Defendant a power of attorney to delegate all the powers pertaining to the process and decision of the instant project and F.
1) On October 27, 201, a consortium consisting of the Plaintiffs and EPC contracts (hereinafter “EPC contracts”) refers to: (a) the preparation of a project site; (b) implementation of the relevant authorization and permission procedures; and (c) financing through the establishment of a letter of credit with respect to the instant project; and (d) the construction of a power plant by the Plaintiffs are to deal with all EPC contracts with the disadvantaged; and (b) the additional agreements with the following terms and conditions for the contracts (hereinafter “EPC contracts”).
