1. The plaintiff's claim is dismissed.
2. The costs of lawsuit shall be borne by the Plaintiff.
Reasons
1. The following facts may be found either in dispute between the parties or in Gap evidence 2-1 (the same shall apply to evidence 1-2) or 2 in full view of the purport of the entire pleadings:
The defendant is a corporation established for the purpose of research and study for the improvement of automobile maintenance equipment and the improvement of automobile maintenance technology.
B. On January 13, 2012, the Plaintiff was the Defendant’s chief director, and the term of office of the chief director is three years.
C. Of the Defendant’s articles of incorporation and operational regulations, the parts relating to this case are as follows.
1) Disciplinary action against members under Article 11 of the Articles of Incorporation (1) (where a member has committed any of the following acts, disciplinary action may be taken by a resolution of the board of directors:
1. When he impairs the reputation of the cooperative;
2. Where the articles of incorporation and provisions thereof and the resolutions of a general meeting and the board of directors are not observed;
5. If the person caused a loss to the union intentionally or by negligence. (3) Members may request the board of directors to review the case within 15 days from the date of notification of disciplinary action.
(4) Disciplinary actions shall be classified into expulsion, suspension of qualification and warning.
Article 12 (Composition of Officers) The Association shall be composed of the following officers:
1. One chief director;
2. Two vice-chairpersons;
3. Three auditors.
4. Eight directors (the head of each Gu branch office, each special branch office, and senior director);
5. One managing director (Duties of officers) (1) The president shall exercise overall control over the affairs of the association on behalf of the association, and preside over all meetings of the association;
(2) The vice-chairperson shall assist the chairperson, and the vice-chairperson shall act on behalf of the chairperson.
Article 16 (Dismissal of Officers) (1) No executive shall be dismissed unless he/she has been subject to a disposition of non-Confidence by a cooperative member or the board of directors or has inflicted any damage on the property
Article 22 (General Meeting) (1) A general meeting shall be classified into an ordinary general meeting and special general meeting, and convened by the president.
Article 24 (Special General Meeting) An extraordinary general meeting shall be convened when any of the following grounds arises:
