1. Defendant B and C are registered under the name of the network E among registered common shares of KRW 5,00,000 issued by Defendant D.

The judgment on the cause of the claim is that the Plaintiff is the representative director of the Defendant Company D (hereinafter referred to as the “Defendant Company”) and the major shareholder (the ownership of 53,06 shares/80,00 shares on the register of shareholders). Defendant B and C are the deceased’s successors as the parents of the Non-Party E (hereinafter referred to as “the deceased”). The Plaintiff entered into a title trust agreement with the deceased to borrow the name of the deceased and take over 14,00 shares out of the shares issued at the time of incorporation of the Defendant Company (hereinafter referred to as “the shares of this case”). The Plaintiff paid the acquisition price and the capital increase price of the shares of this case. The facts that the deceased were registered as the shareholders of the shares of this case on the register of shareholders of the Defendant Company on the register of shareholders of the Defendant Company are not disputed between the parties, or can be acknowledged by comprehensively taking account of the overall purport of the pleadings as to the shares of this case, and it is evident that the Plaintiff’s title trust was served on the deceased’s heir of this case.

According to the above facts, since the title trust agreement on the shares of this case was lawfully terminated on August 1, 2015, the shareholders' rights of this case were returned to the plaintiff. As long as Defendant B and C are disputing this, the plaintiff has a benefit to seek confirmation, and the defendant company has a duty to implement the transfer procedure to change the shareholders' name on the register of shareholders with respect to the shares of this case where the title trust relationship was terminated to the plaintiff.

2. In conclusion, the plaintiff's claim against the defendants is justified and it is so decided as per Disposition.
