1. The plaintiff's claims against the defendants are all dismissed.
2. The costs of lawsuit shall be borne by the Plaintiff.
Reasons
1. Basic facts
A. The Plaintiff is a company running the real estate leasing and selling business. Defendant A is the president of the regional housing association, which is the regional housing association established for the purpose of the new apartment construction project (hereinafter “new construction project of this case”) in Ulsan-gu Seoul (hereinafter “instant project site”) and Defendant B is the vice president of the regional housing association.
B. (tentatively, around January 2015, the Promotion Committee of E (hereinafter “Promotion Committee”) entered into an administrative service agency contract with the Plaintiff with respect to all business affairs, etc. related to the purchase of the instant project site (hereinafter “instant agency contract”). The main contents thereof are as follows:
Article 2 (Division of Administrative Affairs) of the Administrative Service Agency Contract
1. For the prompt and normal performance of the project, the promotion committee and the Plaintiff shall share their respective duties in good faith and shall cooperate with each other, and shall be responsible therefor.
2. The promotion committee shall faithfully implement the following:
1) 2) Purchase of the project site 3) Allocation of the project cost related to the project 4) Allocation of all kinds of claims and liabilities related to the project 5) Selection of all service companies related to the project site 6) 7) Selection of the service companies related to the project site 7) and conclusion of the contract, including the above work, shall assist the Plaintiff in all performance and decision-making necessary for the project, and shall be delegated en bloc. 3. The Plaintiff, upon delegation of the promotion committee’s duties under paragraph 2, shall faithfully perform the following matters: (i) Examination of the site location and all affairs related to the purchase of the project site; (ii) Examination of feasibility; (iii) Land sale and purchase contracts; (iv) Land transaction reports and ownership transfer/trust registration 4); and (v) Other affairs related to ownership/mortgage registration 5) Other affairs related to the promotion committee’s recruitment and support; (v) determination of supply price; (v) sale advertisements; and (v) overall affairs related to sale/H construction; operation/H construction;
