1. All of the plaintiff's claims are dismissed.
2. The costs of lawsuit shall be borne by the Plaintiff.
Reasons
1. Basic facts
A. The current status of the establishment and shareholders of D, etc. D, and D, Inc. (hereinafter “D”).
A) E/F participated as promoters and was established on December 31, 2009. At the time of establishment, E/F subscribed 100 shares out of total of 10,000 shares, and F subscribed 5,000 shares and held each of them. (2) H Co., Ltd. (hereinafter “H”) participated in G and F as promoters, and was established on April 30, 2009. At the time of establishment, G acquired 2,700 shares among total shares, and 5,00 shares, respectively, and F subscribed 2,300 shares and owned them.
3) Co., Ltd. I (hereinafter “I”)
The Company is established on March 23, 2007. At the time of its establishment, J, G out of the total 10,000 shares issued, 2,00 shares each of them held 6,00 shares each, and F. 4) K Co., Ltd. (hereinafter “K”) was incorporated on December 31, 2009 by participating in G and J as promoters. At the time of its establishment, G was established on December 31, 2009. Of the total 10,000 shares issued, G acquired 3,40 shares and 3,300 shares each at the time of its establishment, and F was subscribed for 3,300 shares of remaining shares, respectively.
5) L Co., Ltd. (hereinafter “L”)
A) A company is established on March 12, 2007. Of the total 30,000 shares issued at the time of its establishment, F holds 14,700 shares among the total shares issued at the time of its establishment. B. On October 20, 2012, F prepared a share transfer contract (hereinafter “Defendant Company”) with Defendant C Co., Ltd. (hereinafter “Defendant”) on October 20, 2012, and transferred D’s shares 4,90 shares (attached Form 1), H’s shares 5,00 shares (attached Form 2), I’s shares 6,00 shares (attached Form 3), K’s shares 3,30 shares (attached Form 4), respectively, and F transferred L’s shares 14,700 shares (attached Form 5), and F transferred the shares transfer to Defendant B a share transfer contract (attached Form 1 “this case’s shares transfer”).
