The reasoning for the court’s explanation of this case is as stated in the reasoning for the judgment of the court of first instance, except for the dismissal of some content as set forth in the following paragraph (2). Thus, this is acceptable in accordance with the main sentence of Article 420 of the Civil Procedure Act.

In light of the following facts or circumstances that can be recognized by comprehensively taking account of the evidence and evidence No. 11 to 13 in the judgment of the court of first instance as follows: (a) the evidence submitted by the Plaintiff alone cannot be deemed significantly unfair or unreasonable in light of the principle of equity, and there is no other evidence to acknowledge that the contents of each of the resolution of the board of directors of this case cannot be deemed null and void; (b) on the end of the fifth sentence of the judgment of the court of first instance, the following contents are added to the end of the fifth sentence of the judgment of the court of first instance, and the other cases cited by the Plaintiff while the resolution of each of the board of directors of this case is merely one case. Thus, it is difficult to deem that the content of each of the resolution of the board of directors of this case is considerably contrary to the principle of equity solely on the grounds that the ratio of approval of transfer of basic production in the resolution of each of the board of directors

3. In conclusion, the plaintiffs' claims are dismissed in its entirety due to the lack of grounds, and the judgment of the court of first instance is just, and the plaintiffs' appeal is dismissed in its entirety due to the lack of grounds. It is so decided as per Disposition.
