1. All of the plaintiff's claims are dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

Basic Facts

Article 1 (Purpose) The purpose of this Agreement is to provide advice for prompt and smooth business activities by providing mutual coordination and advisory services for all business activities with the Hyundai Securities Co., Ltd. (hereinafter referred to as the “NE”) for the financing of the project funds of B (hereinafter referred to as the “instant project”) promoted by B (the meaning of the Defendant; hereinafter referred to as the “BF loan”) and this PF (hereinafter referred to as the “PF loan”) in order to facilitate business activities by the cooperation and analysis of B (the meaning of the Plaintiff; hereinafter the same shall apply).

Article 2 (Details and Scope of Advisory Services) ① Enterprise Analysis Advice on A (2) Basic Plans and Joint Consultation on the basis of corporate-related data, ③ Establishment of optimal capital structure proposal necessary for the mid- and long-term development of the Republic of Korea (4) Establishment of a plan for financing necessary for development of the project funds, and

Article 5 (Rights and Obligations of B) (2) “B” shall promote the work in compliance with the intention of “A” by providing all data or verbal announcement thereof to “A” when the decision-making of “A” is necessary in the course of performing the service.

Article 6 (Contract Period, Consultation Fees and Expenses) The contract period, advisory fees and expenses for "A" in Article 6 (Contract Period, Consultation Fees and Expenses) shall be as follows:

The contract period of one contract shall correspond to the contract period between A and Hyundai Securities, and the “A” shall determine to “B” the advisory fee of KRW 50,000,000, which shall be 0.5% of the contract amount at the completion of B/L in connection with the promotion of the service.
