1. The plaintiff's claim is dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

1. Basic facts

가. 원고는 폐기물처리업, 우드펠렛(목재가공 부산물인 톱밥 등을 파쇄하여 만드는 고체연료) 제조 및 판매업 등을 목적으로 하는 D 주식회사(이하 ‘D’이라 한다)의 대표이사이고, 피고는 신재생에너지사업, 우드펠렛 보일러 제조 및 도소매업을 목적으로 하는 회사이다.

나. 피고는 2014. 8. 13.경 D이 소유하던 강원도 정선군 E 일대 토지와 지상건물 및 우드펠렛 생산설비 등(이하 통칭하여 ‘정선공장’이라 한다)을 경매로 취득하였다.

C. On July 2014, when the above auction procedure was in progress, the Plaintiff and the Defendant concluded a business agreement with the following contents.

(hereinafter referred to as the “instant agreement”). (1) In July 2014, the Defendant establishes a stock company C (hereinafter referred to as the “C”) whose head office is the Gangwon-do Stop-gun F (Land Number Address) in Gangwon-do (hereinafter referred to as the “C”).

(2) The defendant shall contribute capital of KRW 800 million to C.

(3) The defendant shall pay to the plaintiff 25% of C’s shares (gold KRW 200 million, KRW 10,000 shares).

[Article 2] ① At the time of the establishment of C, the Plaintiff shall not establish C on condition that 25% (20,000 shares) of the shares of the said company be provided free of charge at the time of the establishment of C and shall not engage in any civil or criminal act that may damage the said company

(2) The plaintiff shall make every effort to normalize C's management early by providing him/her with tangible and intangible experience and knowledge.

다. 위 협약에 따라 2014. 7. 17. 강원도 정선군 F을 본점 소재지로 하여, 폐기물처리업, 우드펠렛 제조 및 판매업, 우드펠렛 보일러 제조 및 판매업 등을 목적으로 하는 C가 설립되었고, C는 설립 시 액면금 1만 원의 보통주식 8만주를 발행하였다.
