1. Of the judgment of the first instance, the part regarding Defendant F and G is revoked, and the plaintiffs’ claims against Defendant F and G are all satisfied.
Reasons
Facts of recognition
H Co., Ltd. established by the agency contractO between the plaintiffs and H is a company with the purpose of manufacturing, wholesale and retail business.
The Plaintiffs entered into a contract with H and agency from around 2014 to July 2015, and paid the security deposit following the establishment of agency to H and operated the relevant agency.
On February 2, 2015, Plaintiff A, at the time of concluding the former subdivision contract, (i) KRW 80,000,000,000 KRW 140,000 K point around 2014 Plaintiff C, around July 2015, Plaintiff C, Inc. (hereinafter “Defendant E”) entered into an investment contract (Evidence 2) with Defendant E, a representative of Defendant F, with the following major contents around March 22, 2016, around 2016, around KRW 90,000,000,00 KRW 50,000,000,000 KRW D20,000,000, KRW 50,000,000.
Article 1 (Purpose) The purpose of this Agreement is to provide for the content that Party A (the “P” of this case refers to Company H, hereinafter the same shall apply) invests in funds and to regulate the distribution of profits from the investment of the business operated by Company B (the “P” of this case, hereinafter the same shall apply).
Article 2 (Investment Matters) A shall invest to B in cash the amount of KRW 400 million on March 22, 2016 and KRW 600 million on March 25, 2016.
Article 3 (Matters concerning Progression)
1. A and B establish a special purpose corporation with the 60% shares of Eul and 40% shares of Eul, and their trade names are Eul Co., Ltd. (hereinafter “Plaintiffs”).
2. He purchases and supplies H sportsization distributed to each of the obligees to the plaintiff, and the plaintiff shall be entrusted to the plaintiff through each member shop.
3. To execute the above matters, a contract for the consignment sale with each member store shall be renewed from B to the plaintiff as a contract for the consignment sale with each member store;
