1. The Defendant (Counterclaim Plaintiff) simultaneously with the delivery of 35 goods listed in the separate sheet No. 1 from the Plaintiff (Counterclaim Defendant).

1. Facts of recognition;

A. The Defendant is a producer of cosmetic Morpus (MAS, hereinafter referred to as the “instant software,” and the supplier of the Plaintiff, who is the producer of the instant goods and the Plaintiff, and the Plaintiff agreed to receive and sell the instant goods from the Defendant.

B. On October 16, 2013, the Plaintiff and the Defendant produced the instant goods and supplied them to the Plaintiff, and the Plaintiff entered into a MAS China/ASEAN Total Sales Contract (hereinafter “instant Total Sales Contract”) with the authority to exclusively sell the instant goods in China, Turkey, and the Asian Director’s country designated separately from the Defendant. The key contents of the instant Total Sales Contract are as follows.

The instant sales contract is effective as of October 16, 2013, and is a contract between the Defendant (hereinafter “producer”) who is a party to the contract and the Plaintiff (hereinafter “seller”).

The producer and the seller may claim to the seller a legitimate right only under the sales contract of this case.

Article 1. The purpose of the instant sales contract is to grant the seller the exclusive right to sell the exclusive product in China, Turkey, and Asian countries (hereinafter referred to as “relevant countries”) designated separately by the producer, and to determine all matters concerning the supply of cosmetics (hereinafter referred to as “MAS”) between the producer and the seller.

The producer of the right granted under Article 2 shall grant the seller the total right to sell the product within the relevant area (see attached Form 2, e.g., e., Annex 1) in accordance with the terms and conditions set forth in the instant total contract.

A producer shall not grant to a third party the right of the producer to sell the product within the relevant region, or shall not directly engage in business activities of the producer.
