Reasons
1. Basic facts
A. (1) The Plaintiff AS Metal Co., Ltd. is a company that runs the business of distributing stephry raw materials, and the Plaintiff A runs the metal processing business in the trade name of D, and E runs the tank manufacturing business in the trade name of F. The Defendants share 1/2 shares of each real estate listed in the separate sheet (hereinafter “instant real estate”).
B. On June 28, 2013, the Plaintiffs and E entered into a sales contract between the Plaintiffs and the Defendants with H, a site for the relocation and new construction of a factory located in the Seoul Metropolitan Area by creating an industrial cluster complex. On June 28, 2013, H, a construction work and infrastructure construction work, etc. upon obtaining permission for new construction of a factory, on a single unit of 10,512 square meters of I forest land in the instant real estate and Jinjin-si, and the Plaintiffs and E entered into a sales contract with H to pay KRW 3.60,000 per square year including the purchase price for the said site. However, the Plaintiffs purchased the instant real estate for KRW 1.5 billion between the Defendants and the Plaintiff on July 16, 2013, and concluded a sales contract with H to pay the remainder of KRW 150,500,000 on the date of the contract (hereinafter “the sales contract”).
Accordingly, the plaintiffs paid 150 million won in total to the Defendants on the date of each contract, respectively, the contract amount of KRW 37.5 million.
3) On October 28, 2013, the Plaintiffs filed an application for permission to establish a factory and to establish access roads to the instant real estate at the time of Jinjin-si, and returned the instant real estate on November 12, 2013, on the grounds that it is impossible to construct a factory as a conservation management area stipulated in attached Table 17 of Article 24(17) of the Urban Planning Ordinance at the time of Jinjin-si.
