1. The Plaintiff has the right to vote against 15,750 common shares issued by the Defendant with a face value of 10,000 won.
Reasons
1. Basic facts
A. The Plaintiff held office as a director of the Defendant from March 15, 2005 to March 15, 2017. At present, the Plaintiff is registered as a shareholder for 15,750 shares equivalent to 45% of the total number of shares issued on the Defendant’s list of shareholders. 2) The Defendant was a stock company established for passenger transport business on January 13, 2003, the number of shares issued at the time of the Defendant’s establishment was 20,00 shares (a par value of 10,000 shares per share) and the total amount of capital was 20,000,000 won.
At the time of the establishment of the defendant, the shareholders were C (600 shares), D (3,820 shares), E (3,880 shares), F (2,00 shares), G (7,700 shares), and H (2,00 shares). Of these, G was the mother of I, and I was under title trust of 7,70 shares with G.
The Plaintiff and I, who were concurrently directors of L Company at around 2005, were able to divide part of the route buses of L Company into the metropolitan bus in Incheon Metropolitan City as well as K in 2005.2,600 G 13 G 13,600 G 6,180 30.9 J 1,000 and J 20,000 1,000 as of the end of 2005.
The plaintiff, I, and K agreed to take over the defendant as a corporation operating the above divided route bus, and the plaintiff decided to take over 45% of the defendant's share in lieu of transferring the shares of the L corporation he possessed to I.
2) On March 15, 2005, I prepared an agreement with the representative director of the defendant, the plaintiff and M as the defendant's director, and K as the defendant's auditor, and completed the next day of his appointment registration. 3) On February 24, 2006, when the plaintiff, I, and K jointly operate the defendant, the share ratio of each of them shall be 10%, 45%, and 45%, and the representative director shall be I, and in the future, the share ratio shall be equal even if they are converted into the city bus in Incheon area.
