1. The Plaintiff (Counterclaim Defendant) pays KRW 142,538,294 to the Defendant (Counterclaim Plaintiff).

Reasons
A principal lawsuit and a counterclaim shall be deemed simultaneously.
1. Basic facts
A. On July 27, 2016, the Plaintiff entered into the instant lease agreement and the amendment agreement between the Plaintiff and the Defendant (i) the entire building on the first basement and second floor in Jongno-gu Seoul, Jongno-gu, Seoul (hereinafter “instant Gu building”).
(2) From October 20, 2016 to October 19, 2021, the lease deposit amount of KRW 200,000,000 for lease deposit, and KRW 14,50,000 for rent month (excluding value-added tax) shall be determined and leased (hereinafter “the first lease agreement in this case”).
The key contents of Article 1 are as follows: KRW 20,00,000 of the deposit for lease under Article 1 is paid and received at the time of the contract, and the balance of KRW 180,000,000 shall be paid on October 20, 2016. Article 2 shall be delivered to the lessee by October 20, 2016 in a condition that he/she is able to enjoy profit from the building of this case for the purpose of lease; the lease period shall be from the date of delivery to the date of October 19, 2021. [Special Agreement] - The lease period shall be increased to KRW 1,00,000 as of September 3, 201; KRW 1,000,000 as of September 3, 2018; and the remainder shall be increased to KRW 1,00,0000 as of September 3, 2018 (the remainder shall be calculated as 00,000).
(2) - The lessor paid KRW 200,000 to the Plaintiff on October 20, 2016 on the date of concluding the instant lease agreement and around October 20, 2016, and the Plaintiff handed over the instant building to the Defendant on September 3, 2016.
3) On November 4, 2016, the Plaintiff entered into a lease agreement to partially alter the instant initial lease agreement with the Defendant (hereinafter “instant lease agreement”) under the title “special agreement entered into with the Defendant” (hereinafter “instant lease agreement”); and when referring to the term “instant initial lease agreement” in the foregoing context, the term “instant lease agreement” refers to the term “instant lease agreement”.
