1. A resolution to dismiss the Plaintiff from the board of directors on May 17, 2014 by the Defendant’s board of directors, and the Defendant’s August 30, 2014.

1. Directors present at the resolution of the board of directors dated May 17, 2014 and the resolution of the board of directors dated August 30, 2014 by the defendant who indicated the claim, were appointed by all invalid resolution of the board of directors except D, and failed to meet the qualification as directors.

Therefore, the Defendant’s resolution to dismiss the Plaintiff from the board of directors on May 17, 2014, and the resolution to appoint C as an assistant principal on August 30, 2014 by the board of directors who are not qualified as directors, is null and void since all of the resolution was passed by the non-qualified directors.
