4. At the time of a merger, division, or transfer of business of the company Gap, Eul and Byung shall either in advance repay the debt to Gap, or otherwise take measures to enable the new company to succeed to the debt in full.

5.In order to guarantee the contents of this Agreement, Gap, Eul, and Byung respectively affix their corporate seals or seals and, if necessary thereafter, affix their respective seals to Gap’s attorney-at-law.

In addition, the contents that they have no such provisions shall be governed by commercial practice.
