1.The following facts of recognition may be found either in dispute between the parties or in full view of the respective entries in Gap evidence 1 to 15, Eul evidence 28 (including each number; hereinafter the same shall apply), Eul evidence 7 to 9, and the whole purport of the pleadings:

1) D Co., Ltd. (hereinafter referred to as “D”)

Defendant B Co., Ltd. (hereinafter “Defendant Company”) on August 20, 2013

between the Defendant Company and the Seo-gu Incheon E Emt (hereinafter “instant Emt”) operated by the Defendant Company.

(2) The term “instant transfer contract” refers to a comprehensive transfer contract under which a comprehensive transfer of assets, liabilities, etc. is made (hereinafter “instant transfer contract”).

2) Upon entering into the instant transfer contract, D agreed to take over the assets and liabilities of the instant marina and pay the remainder after deducting liabilities from the assets to the Defendant Company as the transfer proceeds.

3) The main contents of the instant transfer contract are as follows. With respect to comprehensive transfer and takeover of all rights and obligations with respect to the instant marina operated by the Defendant Company of the instant transfer and takeover contract, a contract shall be concluded as follows, and the part payment shall be sealed between the Defendant Company and D, respectively.
