1. Basic facts

A. 1) The defendant is the Special Act on the Development of Agricultural and Fishing Villages (amended by Act No. 5758 of Feb. 5, 1999) for the purpose of managing the agricultural fisheries and storing and processing agricultural, marine and stock farm products.

(2) The Plaintiff is an incorporated farming association established on January 17, 1996. 2) The Plaintiff’s children of the deceased H (hereinafter “the deceased”), the Plaintiff’s wife of the Plaintiff, and the Intervenor’s mother, Intervenor D, F, and G are the wife of the Deceased, and the Intervenor’s mother, Intervenor D, F, and G are the siblings of the Plaintiff.

3) On the statement on the changes in the Defendant’s shares in 2012, the Plaintiff Company A was registered as a member who holds 26,33 shares in the Defendant’s 2012, 3,133 shares in the Intervenor D, and 3,133 shares in the Defendant’s shares in the Intervenor F, 10 shares in the Intervenor F, and 3,733 shares in the Defendant’s shares in the Intervenor’s corporate register. 4) The Plaintiff Company A was registered as a director on April 9, 1998; the Plaintiff B was an auditor on May 11, 2004; and the Intervenor G was registered as a director on December 1, 200.

B. The minutes of the Defendant’s general meeting as of April 9, 1998 and the minutes of the Defendant’s general meeting as of April 9, 1998, which were prepared by the Plaintiff A as of April 9, 1998, contain the following: (a) the resolution was made at the seat of the Defendant on April 9, 1998: (b) the resolution was made to appoint the Deceased as the representative director N, the appointment of the Plaintiff A as its director, etc., while five of the Defendant’s total six members present at the general meeting, who

C. On February 8, 2008, the deceased on the management right of the defendant died, and thereafter the plaintiff A operated the defendant. In relation to the defendant's operation, profit distribution, etc., disputes occurred between the above plaintiff and other inheritors G, etc.

G around November 16, 2012, the resolution of the general meeting of partners and the resolution of the board of directors of the first instance board of directors of the company made on November 26, 2012, G is new for the members of the defendant, including the plaintiff A, to whom the term of office has expired.
