All appeals are dismissed.

Costs of appeal shall be borne by each party.

The grounds of appeal are examined (to the extent of supplement in case of supplemental appellate briefs not timely filed).

1. In full view of the evidence adopted by the Plaintiff’s grounds of appeal, the lower court shall consider the following facts: (a) the Plaintiff was holding a board of directors on December 29, 2003 to revise the Regulations on Remuneration and Welfare Expenses for Executives (hereinafter “existing Regulations on Remuneration for Executives”); (b) around November 2003 due to the restructuring of governance structure under the inducement of foreign capital, the retired H shall be paid piece rates for improving the financial ratio through inducement of foreign capital in 2003; (c) the GEPS shall be paid 270% of the basic salary to retired executives by applying the amended regulations on remuneration for executives; and (d) the amount of piece rates for executives shall be paid every year after the resolution to pay 120% or 270% of the basic salary; (e) H was already submitted in the status of resignation; and (e) the rest of executives shall be paid by the board of directors on the basis of the amended regulations on remuneration for executives’ performance in accordance with the said attached Table 10-10 percent of the remuneration rate of executives; and (e-1 of the existing bonuses for executives).
