1. All claims filed by the Plaintiff (Counterclaim Defendant) and the counterclaim claims by the Defendant (Counterclaim Plaintiff) are dismissed.

2. Of the costs of lawsuit.

A principal lawsuit and counterclaim shall be deemed to be combined.

1. Basic facts

A. On December 1, 2010, the Plaintiff entered into an interim management contract with the Defendant, setting the term of the contract from December 1, 2010 to November 30, 2011 for the purpose of the entrusted operation of the Defendant’s modern department store C clothes store within the same store (hereinafter “middle store”).

The plaintiff completed business registration on the same day with the trade name "D" for the entrusted operation of a middle store store on the same day.

Section 1 (Purpose of this Agreement) The purpose of this Agreement is to designate Section A (Defendant) as sales promotion service agent under a specific purchase transaction agreement (hereinafter referred to as “supply contract”) entered into with Section B (Plaintiff) where the place of business of Section A is established, and deliver goods produced and supplied by Section A to Section B by contract of supply, and Section B shall provide for detailed matters necessary for performing the duty of sales in good faith, to establish a mutual cooperation and a smooth system, and to contribute to the common prosperity development.

The scope of services to promote sales by Article 3 (Scope of Services to Promote Sales) shall be limited to the goods supplied by Gap, and Eul shall be responsible for sales activities, product management, customer management, store management, inventory management, etc. in order to improve the sales of Gap's goods.

Article 6 (Performance Assistant) (1) A shall have an assistant to perform the duty of sales promotion services under Article 3 (hereinafter referred to as "performance assistant") work on a regular basis at the expense of B.

Provided, That the number of persons who are allowed to work additionally at a special event, such as short-term participation in the shopping mall or halogen days, shall be determined by separate agreement.

(6) During the work of a performance assistant in a shopping mall, Eul shall require him/her to comply with all the regulations on the management of stores and regulations on customers in the shopping mall.

(7) B shall be the customer of A, A, and other persons who violate any of the obligations under this contract and commit other illegal acts by the performance assistant.
