1. Basic facts

A. The parties concerned are companies with the main business purpose of supplying an information network system related to real estate brokerage business. The defendant is a company with the main business purpose of developing and supplying software.

나. 이 사건 계약의 체결 경위 1) 원고와 피고는 2004. 8. 26. 부동산 중개사무소를 회원으로 하여 매물을 자동등록하고, 회원인 부동산 중개사무소들이 매물정보를 공유할 수 있는 통합거래정보망 프로그램을 공동 개발하여 이를 통해 공동사업을 추진하기로 하는 내용의 업무제휴협약 및 통합거래정보망 공동개발계약을 체결하였는데, 그 주된 내용은 아래 표 기재와 같다. ▣ 업무제휴협약서 제1조(목적) 본 협약은 ‘통합거래정보망 프로그램’을 이용하여 “갑(원고를 의미한다. 이하 같다)”이 운영하는 부동산 홈페이지와 “을(피고를 의미한다. 이하 같다)”이 제휴한 부동산 정보제공 업체 간에 통합적인 ‘다중매물등록’ 및 ‘거래정보망’ 서비스를 제공하는데 필요한 사항과 이에 따른 상호간의 권리와 의무 관계를 명확히 하는 데 목적이 있다. 제4조(제휴기간

1. The duration of alliance of this Convention shall be five years from the date on which “A” and “B” have completed the development of the Integrated Transaction Information Network Program.

2. The period of suspension of a contract shall be automatically extended one year on the same condition, unless one of the parties to the contract has expressed his/her intention in writing not later than two months before the expiry of the validity of this Convention.

Article 5 (Contents of Partnership)

3. “A” and “B” shall jointly develop a new integrated transaction information network.

4. “A” shall take charge of the research and design of the Integrated Trade Information Network Program;

5. "B" shall take charge of the development, distribution, maintenance and repair of the integrated transaction information network programs;

7. Revenues from the operation of the integrated trade information network shall be borne.
