A. Establishment 1) K Co., Ltd. (hereinafter “K”) for the bankrupt B Co., Ltd. (hereinafter “debtor”)

On September 9, 1998, the Seoul Central District Court applied for the commencement of composition to the Seoul Central District Court on September 12, 1998, and received the decision to authorize the commencement of composition on January 8, 1999. 제2조(토지 지분의 양도, 양수 및 사업지분) ㈎ 갑이 매입한 토지 및 투자비 내역 갑이 매입한 토지는 갑 회사로 등기이전을 한 1필지를 제외하고 모두 계약금 및 중도금을 지급하고 매수 권리를 확보하고 있으며(별첨 토지계약 목록, 이하 ‘매입부지’), 이를 위해 투자된 토지비 및 기타 제비용의 총 금액은 2010. 4. 30. 현재 약 368억 원이며, 그 중 금융기관으로부터 대출받은 대출금이 148억 원이고, 현금으로 약 220억 원이 투자되었음(별첨 투자비 내역)을 확인한다.

㈏ 토지 지분의 양도, 양수 및 사업지분 갑이 2010. 4. 30. 현재까지 매수계약하여 확보한 매입부지를 양도, 양수 대상 토지로 하며, 양도대금은 갑이 투자한 총 금액 약 368억 원에서 금융기관의 대출금 148억 원은 갑과 을의 사업지분에 따라 부담하기로 하고, 나머지 갑의 현금 투자금액은 약 220억 원인바, 을이 갑의 매입 토지 중 10%의 토지를 을의 사업지분으로 양도받고, 을은 갑에게 20억 원을 지급하기로 한다.
