1. The plaintiff

A. Among Defendant B, the Plaintiff is a shareholder of 156,00 share out of the shares listed in paragraph (1) of the attached list of shares.

1. Basic facts

A. The Plaintiff is a company established for the purpose of English specialized education business on October 24, 200, and Defendant E Co., Ltd. (hereinafter “Defendant Company”) is a company established for the purpose of printing and publishing business on January 6, 2004.

B. At the time of incorporation of the Defendant Company, among the 600,000 shares issued and outstanding, F’s wife G, the representative director of the Plaintiff Company, was indicated as holding 38,800 shares (64.8%), Defendant C’s 30,00 shares (5.0%), Defendant B’s 120,00 shares (20.0%) and H’s 61,20 shares (10.2%). The above shares holding status was reported at the tax office, and was stated as it was in the detailed statement of the change of shares at the tax office until the business year 2004.

Then, as of December 31, 2012, G 268,800 shares (44.8%) of the Defendant Company’s shareholder registry was changed to holding 150,00 shares (25.0%) of Defendant C, Defendant B’s 120,00 shares (20.0%) and H 61,200 shares (10.2%). The change in shares was reported to the tax office in 2005, and it was equally stated in the detailed statement of the change in shares at the tax office until now.

C. Meanwhile, on the other hand, the list of shareholders of the Defendant Company submitted by the Defendant Company on December 12, 2012, indicated that Defendant B is holding 306,00 shares (51%) and 232,80 shares (38.8%) by the Defendant Company, and 61,200 shares (10.2%) by the Defendant Company, and around June 13, 2014, Defendant C owns 306,00 shares (51%), Defendant C’s 172,80 shares (28.8%), Defendant D’s 60,00 shares (10.0%) and Defendant Company’s 61,200 shares (10.2%).

The change of shareholders above is not reported at the tax office, and the detailed statement of the change of stocks at the tax office is stated on December 31, 2012.
