1. The plaintiff's claim is dismissed.

2. The costs of lawsuit shall be borne by the Plaintiff.

1. Basic facts

A. On February 17, 2010, the Defendant entered into a contract between the shareholders and Solomon Savings Bank (hereinafter “ Solomon Savings Bank”), and the solomon Savings Bank (hereinafter “ Solomon Savings Bank”), and the solomon Savings Bank (hereinafter “ Solomon Savings Bank”), and the solomon Savings Bank held 9.9% of the total number of shares issued by the solomon Savings Bank, and the Defendant, a strategic investor, owned 90.1% of the total number of shares issued by the lolomon Savings Bank, and entered into a contract between the shareholders under which the lomon Savings Bank borrowed the ship (hereinafter “instant loan”).

B. On December 11, 2012, the Defendant entered into the instant service contract with the Plaintiff on December 12, 2012, and on the 12th day of the same month, a financial advisory service contract for the improvement of the financial structure of the personal seal merchant boat (hereinafter “instant service contract”). The main contents of the instant service contract are as follows.

Article 1 [Purpose of Contract] The purpose of this Agreement is to entrust "A" (Defendant) with financial advice related to this case to "B" (Plaintiff) and to provide for the matters necessary for the plaintiff to conduct such consultation and the rights, obligations and cooperation between the original defendant and to provide successful advice on the basis of mutual trust.

Article 2 (Scope of Services)

1. Examining the business performance and financial status of the relevant company;

2. Review of business cash flow estimated on the basis of the management plan for the merchant ship;

3. Advice on the debt readjustment scheme, such as postponement of payment of interest on loans to creditor financial institutions of the merchant bank;

4. Other advisory services as mutually agreed between the original defendant and the original defendant.

1. The Defendant’s basic remuneration shall be the Plaintiff in relation to the instant contract.
